By accessing or using the website at https://www.gmksolve.hair (the Site) operated by GMK Solutions LLC (we, us, or our), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not access or use the Site. These terms apply to all visitors, users, and anyone accessing the Site.
GMK Solutions LLC provides professional computer systems design, integrated systems engineering, and technical consulting services within the Professional, Scientific, and Technical Services sector. Our services include systems architecture, integration planning, technical consulting, and related advisory services to clients across the United States.
All content on this Site -- including text, graphics, logos, design elements, software, and documentation -- is the exclusive property of GMK Solutions LLC or its licensors, protected by US and international intellectual property laws. You are granted a limited, non-exclusive, revocable license to access and use the Site for lawful, personal, non-commercial purposes.
To the fullest extent permitted by law, GMK Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services, including loss of profits, data, or business opportunity. Our total aggregate liability shall not exceed fees paid in the twelve months preceding the claim.
This limitation applies regardless of the legal theory under which the claim is brought.
The Site and all services provided through it are offered on an as is and as available basis. To the maximum extent permitted by applicable law, GMK Solutions LLC expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free from viruses, malware, or other harmful components. No advice or information obtained by you from us through the Site shall create any warranty not expressly stated in these Terms.
You agree to indemnify, defend, and hold harmless GMK Solutions LLC, its members, managers, officers, employees, contractors, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses -- including reasonable attorneys' fees -- arising from or related to your use of the Site, your violation of these Terms of Service, your violation of any applicable law or regulation, or your infringement of any third-party intellectual property or other rights.
Project-based services are governed by separate Statements of Work or Service Agreements executed by both parties prior to commencement. Retainer engagements shall be billed on a monthly basis in advance. Standard payment terms are net thirty (30) days from the date of invoice unless otherwise specified in a written agreement signed by both parties.
Late payments may accrue interest at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less. If we are required to take collection action, you agree to reimburse all reasonable collection costs and fees. All fees are non-refundable except as expressly stated in the applicable service agreement.
During the course of our business relationship, either party (the Disclosing Party) may disclose to the other (the Receiving Party) certain confidential and proprietary information. The Receiving Party agrees to: (a) maintain such information in strict confidence for a period of three (3) years from the date of disclosure; (b) use the information solely for the purpose of performing its obligations under this agreement; and (c) limit access to those of its personnel who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those contained herein.
This obligation shall not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (iv) is required to be disclosed by applicable law or court order.
You agree to indemnify and hold harmless GMK Solutions LLC and its members, managers, employees, and agents from claims arising from your use of the Site, violation of these Terms, or infringement of third-party rights.
Services are governed by separate Statements of Work. Retainer engagements bill monthly. Standard terms are net 30 days unless otherwise agreed. Late payments may incur interest at 1.5% per month. All fees are non-refundable except as expressly stated in a written agreement.
Both parties may disclose confidential information during the business relationship. Each party agrees to maintain confidentiality for three years, use information solely for the intended purpose, and limit access to personnel with a need to know. This excludes publicly known or independently developed information.
Our Site may contain links to third-party websites, platforms, plugins, or services that are not owned, operated, or controlled by GMK Solutions LLC. We do not endorse, warrant, or assume any responsibility for the content, products, services, privacy practices, or security of any third-party site. Accessing any third-party site linked from our Site is entirely at your own risk, and we encourage you to review the applicable terms of service and privacy policies before engaging with such sites.
We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to all or any part of the Site at any time, with or without prior notice, for any reason -- including, without limitation, any breach of these Terms of Service or any conduct that we, in our sole judgment, consider harmful to our operations, reputation, users, or legitimate business interests. Upon termination, your right to access and use the Site shall immediately cease.
The following provisions shall survive any termination of these Terms: Intellectual Property (Section 3), Limitation of Liability (Section 6), Disclaimer of Warranties (Section 7), Indemnification (Section 8), Governing Law (Section 13), Dispute Resolution (Section 14), and any other provisions that by their nature are intended to survive.
These Terms are governed by the laws of the State of Utah and applicable US federal law. Any legal action shall be brought exclusively in the courts of Salt Lake County, Utah.
Neither party is liable for performance failures caused by events beyond reasonable control, including acts of God, war, terrorism, pandemic, fire, flood, strikes, government actions, or telecommunications disruptions.
These Terms, together with any Statements of Work and referenced policies, constitute the entire agreement between you and GMK Solutions LLC regarding Site use, superseding all prior agreements and communications.
We may modify these Terms at any time. Material changes will be communicated via our Site. Continued use after changes constitutes acceptance. Review these Terms periodically.
Failure to enforce any provision does not constitute a waiver. If any provision is found invalid, remaining provisions remain in effect. No waiver is binding unless in writing and signed.
